1. Who You Are Contracting With

PlanRez ("PlanRez", "we", "us", "our") owns and operates this platform. By using PlanRez you are entering into an agreement with PlanRez. You can reach us at legal@planrez.com.

2. Acceptance of Terms

By accessing or continuing to use PlanRez, you agree to be bound by these Terms of Service and all applicable laws and regulations. You confirm that you are of legal age and, if using PlanRez on behalf of an organisation, that you have authority to bind that organisation.

3. Service Description

PlanRez is a multi-tenant booking and back-office platform that enables tour, safari, activity and accommodation operators to manage products, schedules, bookings, guests and finances.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information during registration and keep it up to date.

5. Operator Responsibilities

Operators are responsible for the accuracy of their listings, fulfilling booked experiences, and complying with local regulations.

6. Traveller Bookings and Operator Cancellation Policies

Booking terms for tours and experiences, including cancellation policies, are set by individual operators and are separate from your PlanRez subscription. Refund eligibility for a tour booking is determined by that operator's cancellation policy.

7. Subscription, Billing and Payment Terms

PlanRez is offered on a free Starter plan and a paid Independent plan billed at USD 15 per month. Paid subscriptions renew automatically each month on the anniversary of your start date until cancelled, and the applicable fee (plus any sales tax or VAT determined by your billing location) is charged to your payment method on each renewal date.

You may cancel at any time from the Billing page in your account or through the customer portal. Cancellation stops future renewals; access to paid features continues until the end of the current billing period. Fees may change with at least 30 days' notice, effective from your next renewal.

Payment, billing, tax, invoicing, cancellation and refund mechanics are governed by Polar's Terms of Service. Our Refund Policy applies to subscription charges.

8. Merchant of Record

Our order process is conducted by our online reseller Polar Software Inc. ("Polar"). Polar is the Merchant of Record for all our orders. Polar handles payment processing, sales tax and VAT compliance, invoicing, billing enquiries and returns.

9. Prohibited Conduct and Misuse

You may not use the platform for unlawful purposes, fraud or spam, to infringe intellectual property rights, to introduce malware, or to probe, scrape, or otherwise interfere with the security or operation of the service or other users' use of it.

10. Intellectual Property

PlanRez retains all ownership of the PlanRez service, including its software, documentation and branding. You receive a limited, non-exclusive, non-transferable right to use the service within your selected plan. You may not reverse engineer, resell or circumvent technical limits of the service. You grant us a limited licence to host and process your content solely to provide the service.

11. Service Level and Warranties

We do not guarantee that the service will be uninterrupted or error-free. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

12. Limitation of Liability

PlanRez acts as a platform connecting operators and customers. We are not liable for the quality, safety or legality of experiences offered by operators. Our aggregate liability is capped at the fees you paid in the 12 months preceding the claim, and we exclude indirect, consequential or special damages (including loss of profits, data or goodwill). Nothing here limits liability for fraud, death or personal injury where the law does not permit it.

13. Indemnity

You will indemnify us against claims arising from your content, your unlawful use of the service, or your breach of these terms.

14. Suspension and Termination

We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination you may export your data for 30 days, after which it may be deleted.

15. Governing Law and Disputes

These terms are governed by the laws of Kenya and the courts of Kenya have jurisdiction over any dispute, unless mandatory local law provides otherwise.

16. Changes to Terms

We may modify these terms at any time. Continued use of the platform after changes constitutes acceptance of the updated terms.
